Terms of Service
Please read these Terms carefully. By accessing or using our services, you agree to be bound by them.
1. Eligibility
You represent that you are at least 18 years old and authorized to act on behalf of your organization in entering these Terms.
2. Accounts & security
You are responsible for safeguarding credentials and for all activity under your account. Notify us immediately if you suspect unauthorized use.
3. Scopes of work
Services are delivered under mutually approved scopes describing deliverables, timelines, assumptions, and responsibilities. Conflicts between these Terms and a scope are resolved in favor of the executed scope for that engagement.
4. Fees & payment
Fees are due as specified in the scope or invoice. Late payments may incur reasonable administrative charges where permitted by law. We may suspend work for nonpayment.
5. Intellectual property
Upon full payment, you receive a non-exclusive license to use deliverables for their intended purpose. We retain pre-existing materials, methods, and know-how.
6. Confidentiality
Each party agrees to protect confidential information and to use it solely for performing obligations under an engagement. Obligations survive termination.
7. Disclaimers
We provide services using reasonable skill and care but do not guarantee outcomes such as media placements or revenue. External factors beyond our control affect results.
8. Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential damages. Our aggregate liability is limited to the amounts paid for the services giving rise to the claim.
9. Termination
Either party may terminate for material breach not cured within 10 days of notice or for convenience subject to agreed wind-down terms and payments for work performed.
10. Governing law
These Terms are governed by the laws of the jurisdiction indicated in your scope or, if none, the laws of the State of California, excluding conflict-of-law rules.
11. Changes
We may modify these Terms by posting an updated version. Continued use after changes indicates acceptance of the revised Terms.
